1. Introduction
These General Terms and Conditions (the "Terms") govern access to and use of the Webfolio website builder and related services (collectively, the "Service"), operated by Upon Pro S.à r.l., a private limited company organised under the laws of the Grand Duchy of Luxembourg, having its registered office at rue Camille Mersch, 5260 Hesperange, Luxembourg, and registered with the Luxembourg Trade and Companies Register (RCS) under number B 247 528 ("Webfolio", "we", "us", or "our"). "Webfolio" is the commercial name under which Upon Pro S.à r.l. provides the Service.
By creating an account, accessing the Service, or subscribing to any plan, you (the "User" or "you") (i) confirm that you have read, understood, and agree to be bound by these Terms, and (ii) acknowledge that you have read our Privacy Policy, which explains how Webfolio collects, uses, stores, and protects personal data. The Privacy Policy is incorporated into these Terms by reference and forms part of the agreement between you and Webfolio. If you do not agree to any part of these Terms or the Privacy Policy, you must not access or use the Service.
2. Definitions
"Account" means the user account created to access the Service.
"Content" means any information, text, images, videos, files, links, designs, configurations, or other materials uploaded, generated, or otherwise provided by the User through the Service.
"AI-Generated Content" means Content generated by the Service's artificial intelligence features based on inputs provided by the User.
"Subscription" means a paid plan giving access to the Service on a monthly or annual basis.
"Trial Period" means the 14-day free evaluation period described in Section 5.
"User Website" means the website created and operated by the User using the Service.
3. Eligibility and Account Registration
3.1 The Service is offered to individuals and legal entities operating genuine, lawful businesses. By creating an Account, you represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction), have the legal capacity to enter into a binding agreement, and that the information you provide is accurate, current, and complete.
3.2 You are responsible for safeguarding your Account credentials and for all activity carried out under your Account. You must notify us promptly of any unauthorised use or suspected breach of security. Webfolio is not liable for any loss resulting from your failure to protect your credentials.
3.3 Each Account is personal to the User. Sharing, transferring, or reselling Account access to third parties is prohibited unless expressly authorised in writing by Webfolio.
4. Description of the Service
4.1 Webfolio provides a software-as-a-service platform that allows Users to create, publish, and manage small business websites by completing a structured questionnaire. The Service includes hosting on a free Webfolio subdomain, a content management dashboard, and a range of pre-configured pages and features.
4.2 The Service is built on a standardised website framework. Webfolio continuously improves and updates this framework, its templates, features, layouts, and visual design. You acknowledge and accept that the structure, design, layout, or features of the Service and of User Websites may change at any time, without prior notice, as part of these ongoing improvements. Such changes do not entitle the User to any compensation, refund, or termination right beyond those expressly provided in these Terms.
4.3 The Service is provided as-is and on a best-effort basis. Webfolio does not guarantee any specific uptime, performance, or feature availability (see Section 13).
5. Trial Period
5.1 New Users may create an Account and evaluate the Service free of charge for a period of fourteen (14) days starting from the date of Account creation (the "Trial Period"). No payment information is collected at sign-up, and no charge is made during the Trial Period.
5.2 During the Trial Period, the User may use the Service without any payment obligation. Webfolio may limit certain features during the Trial Period and reserves the right to modify or discontinue the Trial Period at any time.
5.3 No automatic conversion. The Subscription does not convert automatically into a paid Subscription at the end of the Trial Period. To continue using the Service beyond the Trial Period, the User must actively subscribe to a paid plan and provide valid payment information before the Trial Period ends.
5.4 Effect of expiry without subscription. If the User has not subscribed to a paid Subscription before the end of the Trial Period:
(a) the Account will continue to exist for an additional period of fifteen (15) days (the "Limited Period"), during which access to the Service will be restricted. The User Website may be unpublished or made inaccessible to the public, and certain dashboard and Service features will be unavailable or limited. The User may, at any time during the Limited Period, subscribe to a paid Subscription to restore full access to the Service;
(b) at the end of the Limited Period, the Account and all associated Content (including any User Website, uploaded files, AI-Generated Content, analytics, and other data) will be permanently deleted, with no possibility of recovery or export. The User is solely responsible for retaining copies of any Content they wish to keep before the end of the Limited Period;
(c) deletion at the end of the Limited Period is automatic and final. Webfolio is under no obligation to send reminders, although it may do so at its discretion.
5.5 The Trial Period is offered to new Users only and may not be combined or extended. Webfolio reserves the right to refuse a Trial Period to Users who have previously held an Account or who appear to be circumventing this limitation.
6. Subscriptions, Fees, and Auto-Renewal
6.1 Subscription plans. The Service is offered on a monthly or annual Subscription basis. Applicable fees, billing periods, and included features are displayed on the Webfolio website at the time of subscription and may be updated from time to time.
6.2 Payment. Fees are payable in advance for each Subscription period. Payment is processed by Stripe, our third-party payment service provider, in accordance with Stripe's own terms of service. By providing payment information, you authorise Webfolio and Stripe to charge the applicable fees and any applicable taxes (including VAT where applicable). Webfolio does not store full payment card details on its own systems.
6.3 Automatic renewal. Once you have actively subscribed to a paid plan, your Subscription automatically renews at the end of each billing period for an additional period of the same duration, at the then-current price for the selected plan, unless you cancel before the renewal date. Automatic renewal does not apply during the Trial Period, which never converts automatically into a paid Subscription (see Section 5). You may cancel renewal at any time from your dashboard or through the Stripe billing portal made available to you, or by contacting support.
6.4 Price changes. Webfolio may modify Subscription fees. Any price change applicable to your Subscription will be communicated at least thirty (30) days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the new fees. If you do not accept the change, you may cancel before it takes effect.
6.5 Taxes. Fees are stated exclusive of applicable taxes, duties, or levies, which will be added where required by law.
7. Right of Withdrawal and Refunds
7.1 Statutory right of withdrawal (EU/EEA consumers). Where applicable consumer protection law grants a statutory right of withdrawal (including, for consumers in the European Union, the fourteen (14) day right of withdrawal under Directive 2011/83/EU), you may exercise that right by notifying us in writing at hello@webfolio.com within the statutory period. By starting to use the Service during the Trial Period, you expressly request that the Service begin during the withdrawal period and acknowledge that, where the Service is fully performed during that period, the statutory right of withdrawal may no longer apply, to the extent permitted by applicable law.
7.2 Trial-period refunds. During the Trial Period, no payment is taken, and no refund is required. If, due to a technical or billing error, you are charged before the end of the Trial Period, please contact us and we will issue a full refund.
7.3 Post-trial refunds. After the Trial Period, Subscription fees are non-refundable. However, Webfolio aims to maintain a fair and flexible relationship with its Users. If you are not satisfied with the Service, please contact hello@webfolio.com and we will review your situation in good faith and seek an appropriate solution at our discretion.
7.4 No refunds in case of termination for cause. No refund will be issued where the Account is suspended or terminated due to a breach of these Terms by the User.
8. Custom Domains
8.1 The Service includes a free Webfolio subdomain (e.g., yourbusiness.webfolio.com). Users may also connect their own custom domain to their User Website.
8.2 The User is solely responsible for purchasing, registering, renewing, and paying for any custom domain. Webfolio does not register, sell, or manage domain names on behalf of Users. The User retains full ownership of any custom domain they register.
8.3 Webfolio is not responsible for any loss of access, downtime, deliverability issue, or other consequence resulting from domain registration, renewal failure, DNS configuration, registrar issues, or any third-party action affecting the domain.
9. User Content
9.1 Ownership. You retain all rights, title, and interest in and to the Content you upload, create, or generate through the Service. Webfolio does not claim ownership of your Content.
9.2 Licence to Webfolio. You grant Webfolio a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, and process your Content solely to the extent necessary to provide, operate, and maintain the Service for you — for example, to display your Content on your User Website, deliver it to visitors, run backups, perform security scans, and handle support requests. Webfolio will not use your Content to train artificial-intelligence models, build derivative products, sell or share with third parties for marketing purposes, or for any purpose unrelated to operating the Service for you. This licence terminates when the Content is deleted, subject to Section 14.
9.3 Your responsibilities. You represent and warrant that: (a) you own or hold all rights, licences, and permissions necessary to upload and publish the Content through the Service; (b) the Content does not infringe any third-party intellectual property right, privacy right, or other right; (c) the Content complies with these Terms, the Acceptable Use Policy (Section 10), and all applicable laws.
9.4 Backups. While Webfolio takes reasonable measures to maintain the Service, you are responsible for keeping your own backups of any Content that is important to you. Webfolio does not guarantee that Content will be preserved, recoverable, or exportable in any specific format.
10. Acceptable Use Policy
10.1 Genuine, lawful businesses only. The Service is intended exclusively for the creation of websites for genuine, lawful businesses, professional activities, or organisations. Use of the Service for any other purpose is strictly prohibited.
10.2 Prohibited content and activities. You may not use the Service to create, host, publish, store, distribute, or link to any of the following:
(a) Adult content, including pornographic, sexually explicit, or sexually suggestive material, or escort services; (b) Gambling, betting, online casinos, lotteries, or related activities; (c) Drugs and regulated substances, including legal recreational drugs, cannabis-related products, psychoactive substances, and any other substance whose sale or promotion is regulated or restricted; (d) Borderline, deceptive, or high-risk industries, including (without limitation) pyramid schemes, multi-level marketing, get-rich-quick schemes, unregulated financial products, cryptocurrency schemes of dubious legitimacy, and similar activities; (e) Illegal content of any kind, including content infringing intellectual property rights, defamatory content, hate speech, harassment, threats, violence, content harmful to minors, or content that violates any applicable law; (f) Malware, phishing, spam, or any malicious activity, including content intended to deceive or harm visitors, distribute malware, or compromise the security of any system; (g) Indirect-purpose websites, including websites created primarily or substantially for search engine manipulation, backlink generation, link farms, doorway pages, private blog networks (PBNs), affiliate-only thin-content websites, or any similar purpose that does not represent a genuine business activity; (h) Any other content or activity that Webfolio determines, in its sole and reasonable discretion, to be inappropriate, harmful to the reputation of Webfolio, or inconsistent with the spirit of these Terms.
10.3 Enforcement. Webfolio reserves the right, at its sole discretion and without prior notice, to: (a) review, restrict, suspend, or immediately delete any User Website, Content, or Account that violates this Section 10 or that Webfolio reasonably suspects of violating it; (b) terminate the Subscription without refund; (c) report unlawful activity to competent authorities; (d) cooperate with law enforcement and provide any information required under applicable law.
10.4 Monitoring. Webfolio has no general obligation to monitor Content or User Websites. However, Webfolio reserves the right (but not the duty) to review, scan, or otherwise monitor Content and User Websites, including by automated means, for purposes such as: (a) verifying compliance with these Terms and the Acceptable Use Policy; (b) detecting and preventing fraud, abuse, spam, malware, or security threats; (c) responding to legal requirements, regulatory orders, or valid complaints from third parties; (d) maintaining the quality, security, performance, and reliability of the Service; and (e) generating aggregated, non-personal statistics about Service usage. The absence of any monitoring action by Webfolio does not constitute a waiver of its rights under these Terms.
10.5 Reporting infringement of intellectual property rights. Webfolio respects the intellectual property rights of third parties and expects Users and visitors to do the same. If you believe that any Content accessible through the Service infringes your copyright, trademark, or other intellectual property right, you may submit a written notice to hello@webfolio.com with the subject line "IP Complaint". The notice should include, at minimum:
(a) your name, address, and contact details; (b) identification of the right you claim has been infringed; (c) identification of the allegedly infringing Content, including the URL where it is accessible; (d) a statement that you have a good-faith belief that the use of the Content is unauthorised by the rights-holder, its agent, or applicable law; (e) a statement, made under penalty of perjury or equivalent obligation under applicable law, that the information in your notice is accurate and that you are the rights-holder or are authorised to act on the rights-holder's behalf; (f) your physical or electronic signature.
10.6 Action on receipt. Upon receipt of a notice that substantially complies with Section 10.5, Webfolio will investigate the matter in good faith and may, at its discretion and without prior notice, take any action it deems appropriate, including (without limitation): removing or disabling access to the Content, suspending or terminating the relevant Account, and notifying the User responsible for the Content of the complaint.
10.7 Counter-notification. If your Content has been removed or disabled and you believe in good faith that this was done in error or as a result of misidentification, you may submit a counter-notification to hello@webfolio.com with the subject line "IP Counter-Notification". The counter-notification should identify the Content concerned, explain the basis for your belief, include your contact details and signature, and a statement consenting to the jurisdiction set out in Section 20. Webfolio may, at its discretion and where the counter-notification appears valid, restore the Content or notify the original complainant of the dispute.
10.8 Repeat infringers. Webfolio operates a repeat-infringer policy. Without prejudice to its other rights under these Terms, Webfolio will suspend or terminate any Account that:
(a) is the subject of two or more credible IP infringement complaints that result in removal of Content; or (b) has been found by a competent court or authority, on two or more occasions, to have infringed the intellectual property rights of a third party; or (c) in Webfolio's reasonable judgment, otherwise demonstrates a pattern of disregard for third-party intellectual property rights.
This policy is intended to comply with applicable law, including (where applicable) the U.S. Digital Millennium Copyright Act ("DMCA") and the EU Digital Services Act (Regulation (EU) 2022/2065).
11. AI-Generated Content
11.1 The Service includes features that use artificial intelligence to generate suggested text (such as bios, service descriptions, FAQs, and similar content) based on inputs you provide.
11.2 You are solely responsible for the AI-Generated Content you choose to use, edit, publish, or rely upon. You must review all AI-Generated Content before publication and ensure that it is accurate, lawful, non-infringing, and appropriate for your business.
11.3 Webfolio makes no representation or warranty regarding the accuracy, originality, completeness, suitability, reliability, or non-infringement of any AI-Generated Content. AI-Generated Content may contain errors, inaccuracies, or content similar to third-party materials.
11.4 The use of AI-Generated Content is subject to Sections 9 and 10 of these Terms. The User assumes all risks and liabilities arising from the use, publication, or distribution of AI-Generated Content.
11.5 Non-uniqueness. You acknowledge that AI-Generated Content is not unique to you. The same or similar inputs may produce identical or substantially similar outputs for other Users of the Service. Webfolio cannot guarantee, and makes no representation regarding, the originality, distinctiveness, or uniqueness of any AI-Generated Content. If uniqueness is important to your business or branding, you should significantly edit, rewrite, or replace AI-Generated Content before publication.
11.6 Third-party rights. AI-Generated Content may, without your knowledge, resemble, reproduce, or otherwise affect the rights of third parties, including (without limitation) copyright, trademark, design, privacy, publicity, name, image, or moral rights. You are solely responsible for reviewing AI-Generated Content for any such issues before publication, and for obtaining any clearances or permissions required. Webfolio is not liable for any infringement of third-party rights resulting from your publication or use of AI-Generated Content.
11.7 No reliance for regulated or sensitive topics. AI-Generated Content is not a substitute for professional advice. In particular, AI-Generated Content relating to medical, health, legal, financial, tax, safety, nutritional, or other regulated or sensitive topics may be inaccurate, incomplete, outdated, or misleading. You must not rely on AI-Generated Content for any such purpose, and you must not publish AI-Generated Content of this nature without independent verification by a qualified professional. This is particularly important for Users operating in regulated sectors such as healthcare, wellness, therapy, financial advice, or legal services.
12. Third-Party Services and Subprocessors
12.1 To operate the Service, Webfolio relies on a number of third-party service providers ("Subprocessors"). These include, in particular:
(a) Vercel Inc. — application hosting and content delivery for the Service and for User Websites; (b) Stripe Payments Europe, Ltd. — payment processing, subscription management, and billing portal; (c) other third-party providers used, for example, for database hosting and storage, transactional email delivery, authentication, artificial-intelligence text and image generation, analytics, mapping, and bot-prevention services.
12.2 Each Subprocessor operates under its own terms of service and privacy policy. Webfolio is not responsible for the availability, performance, security, content, accuracy, or practices of any third-party service, nor for any change, suspension, or discontinuation of such service. Where you connect a third-party service to your Account or User Website, you are responsible for complying with the applicable third-party terms.
12.3 A current overview of the categories of Subprocessors used by Webfolio is provided in the Privacy Policy. Webfolio may change Subprocessors from time to time as needed to operate the Service.
13. Service Availability and Disclaimer
13.1 Best-effort basis. Webfolio uses commercially reasonable efforts to make the Service available and to operate it reliably, but provides the Service on an "as is" and "as available" basis, without warranty of any kind, express or implied, to the maximum extent permitted by law.
13.2 No guarantee of uptime. Webfolio does not commit to any specific uptime, response time, or service level. The Service may be unavailable, slow, or interrupted due to maintenance, upgrades, network conditions, third-party service issues, force majeure, or other factors.
13.3 No liability for downtime or service interruptions. To the maximum extent permitted by applicable law, Webfolio shall not be liable for any direct or indirect loss, damage, or harm resulting from: (a) any unavailability, downtime, slowdown, or interruption of the Service; (b) any loss, corruption, or unauthorised access to Content, including as a result of hacking, security breaches, cyberattacks, or third-party intrusions; (c) deletion of User Websites or Content in accordance with these Terms; (d) loss of business, revenue, profits, customers, or goodwill; (e) errors, bugs, or defects in the Service; (f) the act, omission, or failure of any third-party service provider.
13.4 No professional advice. The Service does not provide legal, tax, financial, medical, or other professional advice. Any informational content generated, displayed, or suggested by the Service is for general informational purposes only.
14. Suspension, Termination, and Deletion
14.1 Termination by the User. You may cancel your Subscription at any time from your dashboard or by contacting hello@webfolio.com. Cancellation takes effect at the end of the current paid billing period; no pro-rata refund is owed for the remaining period.
14.2 Termination by Webfolio.
(a) For cause. Webfolio may immediately suspend or terminate the Service, the Account, or any User Website, with or without notice and without refund, in the event of: (i) breach of these Terms by the User; (ii) violation of the Acceptable Use Policy (Section 10); (iii) non-payment of fees; (iv) fraudulent, abusive, or harmful behaviour; (v) repeated or serious intellectual property infringement complaints (Section 10.8); (vi) any misrepresentation or material omission made in connection with the Account or the Service; or (vii) any legal, regulatory, or compliance requirement.
(b) Without cause. Webfolio may also terminate the Service or any Account at its convenience, for any reason or no reason, by providing at least thirty (30) days' prior written notice to the User. In the event of termination without cause of an active paid Subscription, Webfolio will refund the proportional unused portion of any prepaid fees.
(c) Discontinuation of the Service. Webfolio may, at its sole discretion, discontinue the Service as a whole or any material part of it. In such case, Webfolio will use commercially reasonable efforts to provide at least thirty (30) days' prior notice and will refund the proportional unused portion of any prepaid fees relating to active paid Subscriptions.
14.3 Effect of termination — immediate deletion of Content. Upon termination or cancellation of the Subscription for any reason: (a) access to the Service and to the User Website ends immediately; (b) all Content associated with the Account, including the User Website, will be deleted immediately and permanently; (c) no grace period applies, and Content is not exportable. You are solely responsible for retaining copies of any Content you wish to keep before cancellation or termination; (d) Webfolio has no obligation to retain, restore, or provide any Content after termination.
14.4 Survival. Provisions of these Terms that by their nature should survive termination — including (without limitation) Sections 9.3, 10 (Acceptable Use, including the Notice-and-Action procedure and Repeat Infringer Policy), 11 (AI-Generated Content), 13 (Service Availability and Disclaimer), 14.3 (Effect of Termination), 15 (Intellectual Property, including Feedback), 16 (Limitation of Liability), 17 (Indemnification), 18 (Privacy), 19 (Changes), and 20 (Governing Law and Jurisdiction) — shall survive termination or expiry of these Terms.
15. Intellectual Property
15.1 The Service, including its software, source code, design, templates, frameworks, layouts, user interface, trademarks, logos, and documentation, is and remains the exclusive property of Webfolio (Upon Pro S.à r.l.) and its licensors, and is protected by intellectual property laws.
15.2 Subject to your compliance with these Terms and payment of applicable fees, Webfolio grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Service for the purpose of creating and operating your User Website during the term of your Subscription.
15.3 You may not: (a) copy, modify, decompile, reverse engineer, or create derivative works of the Service; (b) resell, sublicense, or commercialise the Service; (c) remove or alter any proprietary notices; (d) use the Service to build a competing product or service.
15.4 The "Webfolio" name, logo, and any related trademarks are owned by Upon Pro S.à r.l. and may not be used without prior written authorisation.
15.5 Feedback. If you provide Webfolio with any suggestions, ideas, comments, feedback, feature requests, bug reports, or other input relating to the Service or any Webfolio product (collectively, "Feedback"), you hereby grant Webfolio a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, distribute, and otherwise exploit such Feedback for any purpose, including incorporating it into the Service or any other Webfolio product or service, without any obligation of attribution or compensation to you. Feedback is provided voluntarily and is not treated as confidential information. You represent and warrant that any Feedback you provide is your own and does not infringe any third-party right.
16. Limitation of Liability
16.1 To the maximum extent permitted by applicable law:
(a) Webfolio's total aggregate liability arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount of fees actually paid by the User to Webfolio during the twelve (12) months preceding the event giving rise to the claim; (b) In no event shall Webfolio be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, business, data, customers, goodwill, or anticipated savings, even if Webfolio has been advised of the possibility of such damages.
16.2 Free use periods. Notwithstanding Section 16.1(a), in any case where the User has not paid any fees to Webfolio at the time of the event giving rise to the claim — including (without limitation) during the Trial Period, during the Limited Period described in Section 5.4, or where the Account has otherwise never been on a paid Subscription — Webfolio's total aggregate liability shall be limited to one hundred euros (€100). This reflects the no-cost nature of those use periods and the corresponding allocation of risk.
16.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, wilful misconduct, or death or personal injury caused by negligence.
16.4 The limitations of liability in this Section reflect the allocation of risk between the parties and apply notwithstanding the failure of any limited remedy.
17. Indemnification
You agree to defend, indemnify, and hold harmless Webfolio (Upon Pro S.à r.l.), its directors, employees, agents, and affiliates from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or related to: (a) your Content (including AI-Generated Content you publish); (b) your User Website; (c) your use of or inability to use the Service; (d) your violation of these Terms; (e) your violation of any law or third-party right.
18. Privacy and Data Protection
18.1 The processing of personal data by Webfolio is governed by our Privacy Policy, which forms an integral part of these Terms.
18.2 Webfolio processes personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (Regulation (EU) 2016/679, "GDPR") where applicable.
18.3 Where the User collects personal data from visitors of the User Website (for example, through contact forms), the User acts as data controller and is solely responsible for compliance with applicable data protection laws, including providing appropriate notices and obtaining any required consents.
19. Changes to the Terms
19.1 Webfolio may update these Terms from time to time to reflect changes in the Service, legal requirements, or business practices.
19.2 Material changes will be communicated to Users by email or through the Service at least thirty (30) days before taking effect. Non-material changes (such as clarifications or corrections) may take effect upon publication.
19.3 Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms. If you do not accept the changes, you must stop using the Service and cancel your Subscription before the effective date.
20. Governing Law and Jurisdiction
20.1 These Terms are governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
20.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Luxembourg City, Luxembourg.
20.3 Consumer protection — mandatory rights preserved. Nothing in this Section 20 deprives a User who qualifies as a consumer of the protection afforded by mandatory provisions of the law of the country in which they have their habitual residence, including but not limited to the right to bring proceedings before, or to be sued in, the courts of that country where required by law.
20.4 Online dispute resolution (EU consumers). Consumers residing in the European Union may also access the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
21. Miscellaneous
21.1 Entire agreement. These Terms, together with the Privacy Policy and any documents expressly referenced, constitute the entire agreement between you and Webfolio regarding the Service and supersede any prior agreements.
21.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be replaced by a valid provision reflecting as closely as possible the original intent.
21.3 No waiver. Failure by Webfolio to enforce any provision of these Terms does not constitute a waiver of that provision.
21.4 Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. Webfolio may assign or transfer its rights and obligations under these Terms freely, including in the context of a merger, acquisition, reorganisation, or sale of assets.
21.5 Force majeure. Webfolio shall not be liable for any failure or delay in the performance of its obligations resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, strikes, pandemics, governmental actions, infrastructure or telecommunications failures, or cyberattacks.
21.6 Notices. Notices to Webfolio must be sent to hello@webfolio.com. Notices to the User will be sent to the email address associated with the Account.
21.7 Language. These Terms are drafted in English. Any translation is provided for convenience only; the English version prevails in case of conflicts.
